Terms of Service

1. What Valumetric is

Valumetric is self-serve financial modelling software. You enter assumptions about a company, and the application computes valuation ranges, cash-flow projections, ownership dilution and automated diagnostics from those assumptions, in your browser and on our servers. You can save scenarios, export a PDF report, and share a read-only link.

It is a tool you operate. We do not review your inputs, prepare anything on your behalf, or provide any advisory, consulting or analysis service.

2. What Valumetric is not

Valumetric is not financial, investment, legal, accounting or tax advice. Its outputs are not a valuation opinion, a fairness opinion, an audit, or any form of professional certification, and Neuvosight OÜ is not a licensed financial adviser, investment firm or valuation practice.

Every figure the application produces is an automated computation from the numbers you supplied and from indicative sector reference values. Different assumptions produce materially different results. Do not rely on any output for a fundraising, investment, financing or transaction decision without independent verification by a qualified professional.

3. Accounts

You can use the modelling features without an account. An account is needed to save scenarios, and to hold a subscription.

Sign-in is by emailed one-time link; there is no password. You are responsible for the security of the email account you sign in with, since anyone with access to it can access your account. Tell us promptly if you believe your account has been used without your permission.

You must be at least 18 and, if you are using the service for an organisation, authorised to accept these terms on its behalf.

4. Subscriptions, billing and who you are buying from

Paid features are sold as monthly subscriptions, per product. A subscription renews automatically each month until cancelled.

Purchases are processed by Lemon Squeezy (Sold through Link, LLC) acting as Merchant of Record. This matters and is not a formality: Lemon Squeezy is the seller of record for your purchase. Your payment contract, your invoice and any VAT or sales tax are with Lemon Squeezy, and their terms apply to the transaction itself. These terms govern your use of the software.

Neuvosight OÜ never receives or stores your card details.

Prices are shown before you subscribe. We may change prices for future billing periods, and will give notice before a change takes effect for an existing subscription.

5. Acceptable use

• Do not attempt to bypass paid-feature gating, rate limits, or any access control.
• Do not scrape, resell, sublicense or redistribute the application or its outputs as your own product or service.
• Do not use automated means to place load on the service beyond ordinary interactive use.
• Do not upload content you have no right to use, or use the service for anything unlawful.
• Do not attempt to access another user's scenarios or account.

6. Your data and your scenarios

The assumptions and scenarios you enter remain yours. We claim no ownership of them and do not sell them.

We process them to run the service, and in aggregated, non-identifying form to calibrate and improve the model. If you create a public share link, anything in that scenario becomes readable by anyone holding the link, until you stop sharing it.

7. Availability and changes

We aim to keep the service available but do not guarantee uninterrupted access. Maintenance, third-party outages and faults happen.

We may add, change or remove features. If we make a change that materially reduces what a paid subscription provides, you may cancel, and we will refund the unused part of the period you have already paid for.

8. Warranties and liability

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we make no warranty that the outputs are accurate, complete or suitable for any purpose.

To the fullest extent permitted by law, our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for lost profits, lost business, lost opportunity, or for any decision taken in reliance on an output of the service.

Nothing here limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, or a consumer's mandatory statutory rights.

9. Cancellation and termination

You may cancel a subscription at any time; see the Refund and Cancellation Policy for what happens to the remainder of a paid period.

We may suspend or terminate access if you materially breach these terms, and will tell you why unless prevented by law.

10. Governing law and disputes

These terms are governed by Estonian law, without regard to its conflict-of-laws rules. If you are a consumer resident in the EU, you also keep the protection of the mandatory rules of your country of residence.

Disputes fall to the courts of Estonia, without prejudice to any right a consumer has to bring proceedings in their own country of residence. The European Commission's online dispute resolution platform is available at https://ec.europa.eu/consumers/odr.

11. Changes to these terms

We may update these terms. The date at the top shows when they last changed. For material changes affecting an active subscription we will give reasonable notice by email or in the application before they take effect.
